I am so glad I posted this question.  Everyone is bringing up points I never thought about.  I did not ask for references, I just figured, he is going to give me people he knows will give him a good one.  The roofer with the best warranty has been in business, since 2002, the other roofer since March 2007.   It seems very clear now, which roofer to go with.  I do want the best materials, I definately don't want to do this again anytime soon.  I am going to have to practically start my emergency fund over, I am not complaining, I am thankful I have it to take care of this.  Thank you everyone, for your wonderful recommendations.
